Changes to this Policy.  We reserve the right to make changes to this Privacy Policy from time to time, and at any time, without notice to you.  But whenever we make material changes to this Privacy Policy, defined as significant changes to the kind of information that we collect and/or how we may use that information, we will post a notice on the home page of the Website for at least 30 days before any such changes take effect.  We encourage you to check this Privacy Policy each time that you visit our Website, so that you can remain aware of any changes that may have been made to this Privacy Policy since the time you last visited the Website.  The version of this Privacy Policy posted on our Website has an Effective Date at the bottom indicating when it was last revised.  If you access, browse or otherwise use our Website after we make changes to this Privacy Policy, whether minor or material, the changes will apply to any information that we collect from you under this Privacy Policy.   

 

Types of Information We May Collect from You.  We may collect two types of information from you through the Website or when you otherwise communicate electronically with us: (1) personally identifiable information (“Personal Information”); and (2) anonymous user data (“Non-Personal Information”).

 

Personal Information – For purposes of this Privacy Policy, the term Personal Information means any information that can be used to personally identify a person, including contact information.  Primarily, we may collect certain types of Personal Information from you like:

• Your contact information (name, street address, email, phone number, etc.);

• Your financial, account and billing information (authorized individual(s), billing address, credit references or report, bank information, transaction details and payment method (including credit card number and/or account number), etc.;

• Your correspondence with us (including by phone, email or the Website); and

• Your professional or business credentials, registrations, licensure or identification documents you provide to us (permits, licenses, registrations, accreditations, etc.).

 

We do not collect Personal Information from you unless you voluntarily supply it to us or otherwise authorize us to obtain it.  For example, we may collect certain Personal Information from you in the following situations:

• When you contact us through the Website or otherwise communicate with us electronically, including by email;

• When you choose to supply us with Personal Information, such as when you register for a promotional offer or respond to a questionnaire or survey from us;

• When you open a customer account with us, or sign up as a registered user of our customer account portal, and you voluntarily provide us with certain business information and/or Personal Information in order to register your account, or you agree to authorize us to acquire certain information about you or your business, like obtaining a credit report or contacting a credit reference for information; and

• When you purchase a product or service from us, and you voluntarily give us either your credit card number or your other account number on approved credit that you wish to be charged, or other financial or transactional details personal to you or your business.

 

Non-Personal Information – In addition to Personal Information that you volunteer, our server automatically collects certain anonymous information whenever you visit the customer account portal accessible through our Website, like the date and time, amount of time online, your user name, IP address, browser type and version, queries you submit, pages you view, information you download, and other statistical or technical data.  Because this aggregate data does not contain any Personal Information, we may use Non-Personal Information for any purpose in our sole discretion, and may share it with third parties without notice to you. 

 

At times, however, we may collect Non-Personal Information from you and then link it to or combine it with your Personal Information under this Privacy Policy.  To avoid doubt, any Non-Personal Information that is linked to or associated with your Personal Information, thus making it capable of personally identifying you, will be deemed to be and treated as Personal Information in accordance with this Privacy Policy, unless we take reasonable measures to (1) de-identify that data using commercially available methods or technology (including statistical sampling methods), (2) maintain that data in a de-identified manner, and (3) require any third party recipients of such data to use and maintain it in a de-identified fashion only and to refrain from taking any steps to re-identify that data.

 

How We May Use and Disclose Your Information.  We may use your Personal Information for any internal business purposes we deem necessary or desirable, in our sole discretion, including but not limited to managing our business operations, fulfilling your orders or other requests, improving our Website and its content and services, customizing your Website browsing experience, providing you with customer service and support, identifying products and services that our customers or prospective customers desire, and communicating promotional offers, product information or other items that may be of interest to you.  We do not sell, rent, trade or otherwise disclose your Personal Information to third parties for their direct marketing or commercial purposes, but we may share your Personal Information with our employees, other companies in our corporate family, and our strategic partners, third-party vendors and other contractors for business purposes, including in connection with products or services that they provide to you on our behalf, or for the limited purpose of fulfilling your order or other request.  However, they must maintain the confidentiality of your Personal Information and restrict its use to the specific service or business purpose that they carry out on our behalf. 

 

We may disclose your Personal Information to third parties whenever we have your consent to share the information.  To the extent permitted or required by law, we also reserve the right to disclose your Personal Information when required by law or otherwise necessary, in our sole discretion, such as (1) to comply with any legal requirements, (2) to react to litigation demands or to comply with valid legal process like a search warrant, subpoena, court order or judgment, (3) when required or necessary to assist law enforcement or other government agencies in an official investigation, prosecution or other legitimate function authorized by law, (4) when we determine that you have violated the Website Terms of Use or other terms governing use of any of our online services, (5) during states of emergency when we believe it is necessary to protect our rights or property, public safety or national security, and (6) in the event we file for bankruptcy or there is a transfer of our ownership and/or assets under a corporate sale, merger, acquisition or reorganization, in which case your information may be transferred as an asset we own.  In these instances, however, we seek to limit the disclosure of your Personal Information to the minimum necessary to comply legally or otherwise address the particular situation.

 

In addition, although we utilize commercially available technologies to maintain the security of our Website and the integrity of our information-gathering practices, inadvertent disclosures of your information may occur, whether by us or someone else, including but not limited to third parties misrepresenting their identities to gain access to Personal Information.  In the event that we learn of any inadvertent or improper disclosure of your Personal Information, we will notify you promptly. 

 

We may use Non-Personal Information for any purpose, in our sole discretion, including monitoring and managing our computer systems and Website, and ensuring that no one gains unauthorized access to or information from our systems or Website.  We also may utilize this Non-Personal Information in the aggregate to perform system maintenance, measure the volume of Website traffic, and/or conduct statistical analyses that may help us to improve our Website’s content, features, services and functionality.

 

Contact List; Opting Out.  If you voluntarily provide us with your mailing address, phone number, email address or fax number, you may receive periodic mailings, transmissions or communications from us with information about, among other things, available products and services, discounts, special offers, upcoming events, industry news and information, etc.  If you decide that do not wish to receive such correspondence from us, you may opt out of our contact list at any time by emailing optout@propharmausa.com or by contacting us at our corporate address or toll-free telephone number listed above.  You also may contact us at any time to update or change your contact information, or to obtain a record of any Personal Information that we have collected from you.  To the extent permitted or required by law, we may maintain records of your Personal Information for at least such amount of time as necessary to meet our recordkeeping or other legal, regulatory, compliance, tax and/or business obligations. 

 

Registered Users.  If you are a licensed medical professional and/or medical facility located in the United States, and we conduct business in the State where you are located, you are eligible to become our customer and purchase products from us at wholesale.  If you are eligible to become our customer, it is purely voluntary whether you choose to open a customer account with us or register for Website access to our customer account portal.  Registered users of our portal, however, gain access to services and information that are not available on our public Website, and the ability to log in and out of their account history and review, download and print their transaction documentation maintained on the portal (including your transaction information, transaction history and transaction statement, or “T3 Statements”).  To register for access to our portal, you must first open a customer account and voluntarily provide us with certain Personal Information and/or business information, including a designated email address that we can use to communicate with you.  We will then assign you a confidential password for access to our customer account portal.  You may change your designated email address at any time by logging in to the portal.  You are solely responsible for keeping your portal log in and password information confidential and secure from unauthorized access or use.  We are not responsible for any claims, injuries, losses, damages or lawsuits occasioned by any unauthorized use of your password or portal account.     

 

Use of Cookies; Do Not Track Requests.  “Cookies” are small data objects or text files that are automatically gathered and stored on your computer when you access an Internet website, which establish various security or other authorizations and keep track of certain information regarding your online activities, such as your website browsing and usage.  We do not enable or use cookies on our public Website, but our customer account portal utilizes cookies or other logging and/or tracking technology to recognize registered users when they return to and log in or out of the portal, which helps to provide a personalized browsing experience.  We also may use cookies or other tracking technology to monitor authorized usage and maintain the security and integrity of our customer account portal, or web beacons or other technology to track emails that we send to you, including determining whether you received and/or opened an email from us.

 

Nevertheless, if you do not wish for us to collect information from you using cookies, you are free at any time to disable cookies in the browser settings on your computer or other device.  Please be aware, however, that certain pages, portions, services or features of our Website may not be accessible to you or function properly for you once you disable cookies on your computer or device.

Our Website does not currently have the ability to respond to “Do Not Track” requests.       

 

Website Security.  We take various measures to maintain the privacy and security of our Website, including utilizing both internal precautions and commercially-available safeguards to protect your Personal Information from loss, theft, misuse, improper access, or unauthorized use.  In particular, we have implemented internal policies and procedures (including employee confidentiality agreements and privacy policies) and we use commercially available security products (like firewalls and Secure Sockets Layer or “SSL” encryption) in our computer systems and Internet infrastructure, including our Website, to safeguard Personal Information received or collected by us.  All Personal Information that we collect from you is stored on our sever that uses commercially-available security technologies, with local backup copies stored on hard drives, or in file cabinets or other physical locations that are locked and/or generally secure from unauthorized access by third parties.  Our customer account portal accessible through the Website uses Secure Sockets Layer or “SSL” encryption on all web pages where Personal Information is required.  To reasonably secure the transmission of your Personal Information over the Internet, however, you must utilize only an SSL-enabled browser to access our customer account portal. 

 

Notwithstanding our precautions to protect your Personal Information, no method of data transmission over or storage on the Internet is ever 100% secure, and there is no guarantee that your Personal Information is entirely secure or that our security measures will prevent third-party hackers or others from illegally intercepting or otherwise obtaining your Personal Information, infecting or corrupting it with viruses or other defects, or making any unauthorized use or disclosure of it.  You should also understand that emails you send to us are not secure from interception by third parties, so please consider using postal mail or calling us if your communication contains confidential, sensitive or Personal Information.

Eligible Website Users; Children’s Privacy.  Our Website is intended for use only by adults who are 18 years of age and older in the United States, and is neither marketed to nor designed to attract users who are under 18 years of age or located outside of the U.S.  The Children’s Online Privacy Protection Act of 1998 (“COPPA”) governs online information gathering from or about children under the age of 13.  COPPA does not apply to our Website, because we do not knowingly collect any Personal Information from any children under the age of 13, and to our knowledge, no children under the age of 13 are using the Website or its services. 

 

Ownership of Information; Use of Customer Feedback.  We own all information that we collect from you on or through or Website, or otherwise electronically.  So long as we do not use or disclose any of your Personal Information other than as permitted in this Privacy Policy, any statements, suggestions, recommendations or other communications or documents that you make or disclose to us voluntarily, including through the Website (collectively “Feedback”), are made on only a non-confidential basis and we shall be free to utilize or commercialize this Feedback for any lawful purpose, including, without limitation, publishing your statements, developing derivative works based upon them, or using them to market our products and services, in any form or media, without compensation to you.
